JOB SUMMARY The Tax Director is responsible for managing all aspects of tax risks for the entire enterprise. These responsibilities fall into the following four main categories: financial statement reporting, planning and effective tax rate management, audit defense and compliance. Operates in full compliance with internal policies and procedures as well as applicable regulations and laws, including but not limited to Bank Secrecy Act/Anti-Money Laundering requirements. Responsible to report any procedure or process that doesnt meet regulatory requirements including fraud, whether suspected or confirmed, to management. This reporting can be done directly to any member of management, including Human Resources or Corporate Security, or can be reported through Associateds anonymous Ethics Hotline.
Financial Statement Reporting Responsible for compliance with SOX 404 and all SEC reporting requirements. Implement and manage all requirements under FIN 48, Accounting for Uncertainty in Income Taxes. Implement and manage FASB 109, Accounting for income tax. Responsible for all SEC income tax disclosures and income tax footnotes. Responsible for accounting and management of deferred tax assets/liabilities. Responsible for accounting and management of valuation allowance accounting. Direct and monitor the Real Estate Investment Trusts, Offshore Investment Companies and all foreign operations to ensure compliance with related laws, regulations and GAAP requirements.
Planning and Effective Tax Rate Management Formulating tax-planning opportunities to reduce the Corporations overall effective tax rate and increase shareholder value. Proactive leader in determining, recommending, influencing and implementing all tax strategies, which will increase shareholder value. Initiate tax planning proposals and/or review transactional proposals and concepts and coordinate their implementation to minimize federal, international and state taxes. Minimize effective tax rate to increase the overall corporate profitability. Review and analysis of proposed tax legislation and advise management of the impact of new laws, decisions, regulations and rulings and recommend proper responsive action. Play an integral part in strategic planning of the company as it relates to structure and tax planning opportunities.
Audit Defense Manage all IRS, state, international, payroll, and sales and use tax audits and related litigation.
Compliance Preparation, timeliness, integrity, documentation and completeness of the Corporations income tax returns. Ensure compliance with the Internal Revenue Code, State and International tax laws and Real Estate Investment Trusts qualification tests. Maintain productive and collaborative relationships with Finance and non-Finance departments.

JOB ACCOUNTABILITIES
1. Document, test and manage SOX 404 process for Tax and REIT functions.
2. Compile with and manage FIN 48 process.
3. Compile with and manage FASB 109 process.
4. Responsible for all tax related disclosures to the SEC.
5. Responsible for managing deferred tax assets/liabilities. Develop strategies to ensure recognition.
6. Manage valuation allowance accounting.
7. Direct the preparation and filing of the corporations income tax returns by reviewing the prepared returns to ascertain the accuracy, completeness and timeliness of the filed returns.
8. Manage tax compliance to ensure that tax ideas are properly reported and to ensure that tax compliance risk is minimized.
9. Serve as the primary contact with the IRS regarding inquiries, audits and examinations by working with the agent to bring issues to a final resolution. Company is a CEP corporation and will therefore be continually audited by the IRS.
10. Manage IRS Audits, prepare all audit protests and negotiate with the IRS and State authorities regarding audit settlements. Manage IRS Appeals and Tax Court filings. Manage all Federal litigation.
11. Serve as the primary contact with all state auditors regarding inquiries, audits and examinations by working with the agents to bring issues to final resolution.
12. Manage State Appeals and State litigation.
13. Coordinate the use of all outside tax consultants and serve as a corporate resource for tax issues, questions and policy by maintaining a current knowledge of taxes and developing communication channels to affiliates and associates in order to meet compliance issues.
14. Lead and/or participates on multifunctional teams to implement strategies related to strategic transactions, mergers and acquisitions, or other transactions involving tax planning issues.
15. Strive for higher than 95% satisfaction as support function and tax resource within the company.
16. Monitor the operation function by attending meetings and answering questions to ensure proper tax information reporting, including communications policy development and compliance.
17. Monitor the Human Resource, Accounts Payable and Fixed Assets areas by attending meetings and answering questions to ensure proper tax reporting, including communication, policy development and compliance. Train staff in these respective areas.
18. Manage or monitor all audits in the Human Resources, Accounts Payable and Fixed Assets area.
19. Prepare analyses of proposed and existing business transactions by review of tax returns and materials provided to determine the effect on taxes.
20. Manage acquisition of targets, including filing final returns and establishing purchase accounting entries and deferred tax assets and liabilities.
21. Recommend tax-planning strategies to executive management by keeping abreast of tax planning opportunities to save tax dollars and mitigate tax issues.
Qualifications JOB SPECIFICATIONS
Minimum Education Four-year Accounting Degree, Certified Public Accountant designation. Masters degree in taxation or equivalent tax experience.
Preferred Education Masters degree in taxation or LLM designation
Minimum Experience 7- 10 years income tax experience including in depth knowledge of SOX 404 and FIN 48 requirements. Five to Seven years experience with IRS and State audits. Two to four years public accounting experience as a CPA.
Preferred Experience Five to seven years public experience as a CPA. Five years bank holding company income tax experience. International Tax experience.
Special Skill Requirements Computer Skills/Licensing/Certifications/Bonding Expertise in taxation and the ability to solve complex problems. Must have the ability to read, analyze and interpret Internal Revenue Code. Use and understand complex financial concepts. Directs/manages tax department and the offshore investment companies and REITs operations and staff. Must have strong writing skills specifically addressing SEC disclosures, IRS requests and preparing IRS response and formal protest to audits Other Duties and Responsibilities Performs other duties as assigned.
Job Requirements Adherence to Company policy and procedures is required. Perform duties in accordance with the Vision & Values of Associated Banc-Corp. Regular attendance is required. Basic math and reading skills, and attention to detail. Use of basic office equipment (e.g., photocopier, voice mail, "fax" machine, calculator, multiple line telephones, typewriter, computers etc.). Travel Required to travel to manage any audits that do not occur at the corporate office. Also responsible for all foreign operations which will require travel.
