Overview:
The Strategic Procurement Manager position is primarily responsible for the development, management, maintenance and strategic direction of all vendor relationships, sourcing and procurement activities, and the procurement lifecycle (including the contract lifecycle) from cradle to grave for a line of business with a constant focus on cost avoidance, savings to budget, risk mitigation and regulatory compliance. This position will measure, monitor and manage a portfolio of Critical Vendors for a line of business including escalations and major dispute resolution. Subject to Bank of Oklahoma's ‘Delegation of Authority’ procedure, this position supports the overall ‘commitment control’ process of contractual obligations for the BOK enterprise ensuring that no individual or entity will exercise total control over transactions and commitments of the bank. This position will manage and negotiate all types of contracts including, but not limited to, technical, financial and consulting agreements for products, services and solutions. This position requires the highest level of business ethics and integrity.
Responsibilities:
- Establishes contract negotiation strategy and fosters or creates a competitive negotiation environment, sole liaison between the vendor and the line of business, timely and effective documented decision making process; assures contracts accurately reflect final understanding between parties and the contract is fully executed by both parties in a timely manner and acquires the necessary internal approvals for contract execution. The contract manager is responsible for price and deal point negotiations, incorporating standard contract language into a vendor contract or using standard contracts whenever possible, ensuring that a contract meets all applicable legal, business, financial, regulatory and data security requirements. The contract manager mitigates risk by negotiating favorable payment terms, refunds, forward price protection and IP Infringement protection.
- Provides strategic direction and assists the line of business, relationship managers and project managers in sourcing and procurement activities such as identifying vendors that are qualified RFP candidates, development and creation of the RFP, managing the RFP process including execution of the Mutual Confidentiality Agreement, the distribution of the RFP, managing clarification requests and monitoring RFP response deadlines. This position conducts or assists in vendor reference interviews. The Contract Manager does not select the vendors. Upon the execution of a contract, the Contract manager issues a service request to generate a purchase order.
- Manages vendor relationships for a line of business which includes validating agreed upon deliverables, ensures regulatory compliance, performance reviews and adjustments, adherence to Service Level Agreements, issuance of report cards and issue logs (as required), problem escalation and resolution and reporting to the Vendor Manager. This position also identifies strategic partnering and reciprocal business opportunities.
- Serves as liaison between the line of business and the legal firm to ensure that all contracts are reviewed by an attorney including new contracts, amendments, renewals, terminations, etc. The contract manager works with the attorneys to develop and maintain contract templates, standard agreements that are preapproved by legal and standard contract language.
- Maintains a hard copy document archive for original. Manages the imaging of all contracts, ensuring their administration and retention in a centralized database. Manages the transfer or termination of contracts for acquired banks, and incorporation/administration to our system.
- Act as the primary liaison between the vendor and the line of business. Oversee vendor regulatory compliance. Oversee financial viability of the vendor portfolio, Enforce Service Level Agreements.
Qualifications:
This level of knowledge is normally acquired through completion of a JD and 15 years experience in contract/procurement/vendor relations.
- Extensive knowledge of various industry contract types, pricing, terms and conditions, warrantees, service level agreements (SLAs), etc.
- Extensive experience planning, strategizing & negotiating technical & non-technical contracts
- Excellent interpersonal skills, including both oral and written in order to concisely and effectively communicate with senior management and executive vendor management
- Superior organizational skills; creative & analytical with good management skills, & disciplined to document and administer detail oriented agreements
- Advanced knowledge of contracts, procurement and vendor management, best practices, terminology, etc.
- Extensive knowledge of project management methodologies which would include integration of the contract process such as RFI’s, Statements of Work (SOW), contractual types, RFP’s, non-disclosure agreements (NDA), etc.
- Advanced skills with Microsoft Office products such as Excel, Word, PowerPoint and other automated Contract/Procurement systems, including use of contractual Word templates
- Experience working in a large, complex IT environment, specifically in infrastructure and applications development
- Strong ability to create a positive and professional business relationship with internal and external clients
- Excellent relationship management skills
