Responsibilities:
The position is part of a team of at least three individuals in the Tax Planning Group in the Williams Tax Department.  The group works directly with Williams Business Development, Treasury and General Counsel groups to plan, structure, evaluate and recommend opportunities to the senior management of Williams in addition to supporting the Tax Compliance Group as requested.  The Tax Planning Group also deals extensively with external advisors and the IRS.

Main areas of responsibility and key activities include but are not limited to:

Advise Williams and/or Williams Partners management on U.S. federal tax risks for publicly traded partnerships.  This includes active participation in all business development activities of Williams Partners that could affect the total number of units outstanding, the debt of the partnership or the type of income recognized by the partnership.  A significant amount of time will be devoted to the tax review and analysis of transaction documents.

Advise Williams management on U.S. federal tax risks for Exploration & Production activities, particularly with respect to federal tax partnerships.  This includes active participation in business development activities of E&P that may include a joint venture or cost sharing arrangement with a third party.

Advise Williams management on significant U.S. federal tax issues that might impact the overall structure of Williams, which includes both taxable and tax deferred transactions with third parties.

Monitor U.S. federal income tax changes that could have a significant impact on Williams or any of its businesses, including new legislation, IRS guidance and federal case law.


Qualifications:
Required:
Minimum of ten years in the public or private sector providing corporate tax planning advice regarding U.S. federal tax matters.
Proven ability to effectively interact at the senior management level.  Ability to effectively work with a team of other professionals in evaluating business development opportunities.
Working knowledge of federal tax source materials, treatises and case law.  Strong tax research skills and proven ability to effectively document and support recommended tax positions (MS Office skills preferred).
Strong oral and written communication skills.

Preferred:
JD degree (LLM preferred) or Masters of Tax degree.
Minimum of five years advising on federal tax partnership matters including direct experience advising on matters with respect to publicly traded partnerships.
Specific knowledge of how other companies have addressed U.S. federal tax partnership issues.


Education Level: Bachelor's Level Degree

Relocation Information: Williams Corporation will pay relocation costs for this position.

Travel Percentage: Less than 25 %

Fair Labor Standards Act: FLSA exempt no overtime pay is due.
